Pauline W. Markey, Shareholder and Chair, Tax and Tax Controversy

Pauline is a shareholder and chair of the Tax and Tax Controversy Group with a particular focus on federal income tax, specifically working with corporations, pass-through entities and tax-exempt organizations. She is also a member of the Mergers and Acquisitions and the Employee Benefits and Executive Compensation groups. Pauline routinely handles negotiations with the IRS and Pennsylvania Department of Revenue with respect to income, sales and use tax matters. Her practice includes general tax planning, entity reorganizations, tax opinions and counseling clients in nonqualified deferred compensation agreements for executives and Section 409A compliance.

After working at some of the biggest and most prestigious law firms in Philadelphia, she brings more than 15 years of tax law experience to Saxton & Stump. During her career, she has led numerous significant transactions, including the simultaneous acquisition and sale of a German life sciences company in an $11 billion transaction. She also reviewed stock purchase agreements and other transactional/tax structuring documents, managed project economics, advised start-up and middle-market companies on tax structure, and structured nonqualified deferred compensation plans through the use of phantom stock and restricted stock plans.

Pauline earned both her law degree and her LL.M. in taxation from the University of Florida. She is on the board of directors and the finance committee of the Philadelphia Chinatown Development Corp., a nonprofit organization that serves the Chinatown community in civic engagement and neighborhood planning. She is also a former member of the board of trustees of the Philadelphia Bar Foundation, which provides equal access to justice.
